  Our Articles of Incorporation: 

These Articles of Incorporation were unanimously approved by the  RA3 formation committee, filed with and officially approved by the Secretary of State of California on April 29, 2009.

 

 

Articles of Incorporation

Article I

The name of the corporation is: Rancho Alamitos Alumni Association, Inc. ( RA3 )


Article II

  1. The corporation is a nonprofit Public Benefit Corporation and is not organized for the private gain of any person. It is organized under the California Nonprofit Public Benefit Corporation Law for: public and charitable purposes.

     

  2. The specific purpose of the corporation is dedicated to maintaining a network of alumni and promoting Rancho Alamitos High School and its students through scholarship, social and educational activities and community services.

Article III

The name and address of the corporation's initial agent for service of process is:

Kenneth G. Hedgpeth, 9701 Skylark Blvd., Garden Grove, California 92841

Article IV

  1. This corporation is organized and operated exclusively for charitable purposes within the meaning of Internal Revenue Code section 501(c)(3).

     

  2. No substantial part of the activities of the corporation shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf of any candidate for public office.

Article V

The property of this corporation is irrevocably dedicated to charitable purposes and no part of the net income or assets of this corporation shall ever inure to the benefit of any director, officer or member thereof or to the benefit of any private person. Upon the dissolution or winding up of the corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities of this corporation shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable purposes and which has established its tax exempt status under Internal Revenue Code section 501(c)(3).

  1. The corporation anticipates having members.

  1. The number of directors constituting the initial board of directors of the nonprofit corporation is nine, who will serve as directors until the first annual meeting of the Alumni Association or until their successors are elected.
